Updated Streamline General Terms and Conditions issued - effective 30 September 2011

Your Streamline Terms and Conditions now include the clauses below which will come into effect from 30th September 2011.

Changes to your Streamline terms from 30th September 2011:

Clause 24.5 currently states that:

“Subject to the Rules, We and/or Bank shall be entitled at any time to assign or transfer the benefit of any or all of Our or Bank’s (as appropriate) rights under the Contract and/or to subcontract Our or Bank’s obligations (as appropriate) under the Contract without Your consent.”

This is being replaced with:

 “Subject to the Rules, We shall be entitled at any time to assign or transfer the benefit of any or all of Our rights under the Contract and/or to subcontract Our obligations under the Contract without Your consent. Upon request, You shall execute any documents required to effect any such assignment, transfer or subcontract.

We shall be entitled to novate any or all of our rights and obligations under the Contract to any Person (including WorldPay) at any time on giving You at least two (2) months’ notice. If We do this You shall be entitled to terminate the Contract immediately and without charge by providing notice to Us provided that such notice is served upon Us before the proposed date of the novation. You will be deemed to have accepted the novation of the Contract to any Person by Us if you have not provided Us with a termination notice by the proposed date of the novation.

With effect from the date that we novate our obligations under the Contract to another Person (the “Novation Date”), You shall release and discharge Us from further performance of our obligations under the Contract and from all claims and demands against Us, whatsoever arising out of or in respect of the Contract, whether prior to, on or subsequent to the Novation Date and the Person to whom the contract is novated shall henceforth perform, or procure the performance of, all such obligations under the Contract, and shall accept all liabilities arising out of or in respect of the Contract, from the Novation Date.”


The following term is being inserted into clause 1.1 of the Contract

WorldPay” means WorldPay (UK) Limited, a private company incorporated in England and Wales (company number 07316500) and its Group Companies.”

The term ‘novate’ means the transfer of rights and obligations under a contract.

Accepting Contract Variation:

All other provisions of the Contract shall remain the same. If you do not accept this additional clause, subject to clause 14 (Consequences of Termination) of the Contract, you shall be entitled to terminate the Contract immediately for no additional charge by providing notice to us, provided that such notice is served upon us prior to 30th September 2011 (the date the revisions will take effect). Otherwise, you will be deemed to have accepted the revisions.
